TERMS OF SERVICE

1. Agreement to Terms

By accessing our website (www.qhpadel.com), contacting our sales team, or placing an order with Hebei Qinghong Artificial Grass Co., Ltd. (trading as "QHPADEL"), you agree to be bound by these Terms of Service and all applicable laws and regulations.

These terms constitute a legally binding agreement between you (the "Client" or "Buyer") and QHPADEL. If you do not agree with any part of these terms, you must not use our services or purchase our products.

2. B2B Nature of Service

QHPADEL operates exclusively on a business-to-business (B2B) basis. Our products and services are intended for:

• Padel club investors, operators, and chain brands
• Sports facility equipment distributors and importers
• Engineering contractors and general contractors
• Real estate developers and commercial complexes
• Educational institutions and government entities

We do not sell directly to individual consumers or end-users for personal use.

3. Products and Services

3.1 Product Scope

QHPADEL provides complete padel court export packages including but not limited to:

• Professional artificial turf (customizable Dtex, density, colors)
• Welded steel frame structures and netting systems
• 12mm tempered glass panels (panoramic design)
• LED lighting fixtures and electrical components
• Posts, corner posts, beams, net posts, and all fasteners

3.2 OEM/ODM Services

Custom manufacturing services are available with minimum order quantities (MOQ):

• Artificial turf customization: 3,000 square meters MOQ
• Frame powder coating colors: Subject to quotation
• Logo integration and branding: Available upon request

3.3 Technical Support

We provide installation drawings, foundation specifications, packing lists, and maintenance manuals. While we offer technical guidance, on-site installation is the responsibility of the Client or their designated contractors.

4. Quotations and Orders

4.1 Quotation Validity

All quotations provided by QHPADEL are valid for 30 days from the date of issue, unless otherwise stated. Prices are subject to change based on raw material costs, exchange rates, and production capacity.

4.2 Order Confirmation

Orders become binding only upon written confirmation from QHPADEL. A signed Proforma Invoice (PI) or Sales Contract is required before production commences.

4.3 Minimum Order Quantities

Standard orders: 1 complete padel court system (minimum)
OEM/ODM orders: As specified per product category (see Section 3.2)

5. Pricing and Payment

5.1 Payment Terms

Standard payment structure:

• 30% deposit upon order confirmation
• 70% balance before shipment (against copy of shipping documents)

Alternative payment methods (L/C, T/T, etc.) may be negotiated for established clients or large orders.

5.2 Currency and Bank Charges

All prices are quoted in USD unless otherwise agreed. Bank transfer fees are the responsibility of the Client.

5.3 Late Payment

Failure to pay the balance within the agreed timeframe may result in storage fees, shipment delays, or order cancellation. QHPADEL reserves the right to charge interest on overdue payments at 2% per month.

6. Production and Delivery

6.1 Production Timeline

Standard lead times (from deposit receipt):

• 2 courts (20GP container): 10 days
• 4 courts (40HC container): 10-15 days
• Artificial turf only (40HC): 10 days (+3 days per additional container)

Expedited production may be available upon request and subject to additional fees.

6.2 Shipping and Incoterms

Standard terms: FOB Tianjin Port (Free On Board)
Alternative terms (CIF, CFR, DDP) available upon negotiation.

Shipping arrangements, freight costs, and customs clearance are the Client's responsibility unless otherwise agreed.

6.3 Delivery Delays

While we strive to meet all deadlines, QHPADEL is not liable for delays caused by force majeure events (natural disasters, pandemics, port congestion, political instability, etc.). Clients will be notified promptly of any anticipated delays.

7. Quality Assurance and Inspection

7.1 Quality Standards

All products are manufactured in compliance with:

• ISO 9001 Quality Management System
• CE and RoHS certifications
• International padel court specifications

7.2 Pre-Shipment Inspection

Clients may arrange third-party inspection at our factory before shipment. Inspection costs are borne by the Client unless defects are found.

7.3 Acceptance of Goods

Clients must inspect goods upon delivery. Claims for visible damage, shortages, or discrepancies must be reported within 7 days of receipt with photographic evidence.

8. Warranty and Liability

8.1 Product Warranty

QHPADEL warrants that products will be free from manufacturing defects under normal use:

• Artificial turf: 5-8 years (depending on grade)
• Steel structures: 3 years (corrosion/welding defects)
• Tempered glass: 1 year (manufacturing defects only)
• Lighting and electrical: 1 year

8.2 Warranty Exclusions

The warranty does not cover:

• Damage from improper installation, foundation issues, or misuse
• Normal wear and tear or fading due to UV exposure
• Accidental breakage of glass (e.g., ball impact)
• Modifications or repairs by unauthorized parties

8.3 Limitation of Liability

QHPADEL's total liability for any claim shall not exceed the value of the specific defective product(s). We are not liable for indirect, consequential, or incidental damages including lost profits, business interruption, or third-party claims.

9. Returns and Cancellations

9.1 Order Cancellation

Once production has commenced, orders cannot be cancelled. If cancellation is requested before production starts, a 20% restocking fee applies.

9.2 Returns

Returns are only accepted for manufacturing defects verified by QHPADEL. Return shipping costs are borne by the Client unless the defect is confirmed. Refunds or replacements will be processed within 30 days of receiving returned goods.

10. Intellectual Property

All designs, drawings, technical specifications, and marketing materials provided by QHPADEL remain our intellectual property. Clients may not reproduce, distribute, or reverse-engineer our products without written consent.

For OEM/ODM projects, ownership of custom designs will be defined in a separate agreement.

11. Confidentiality

Both parties agree to keep confidential all proprietary information exchanged during the business relationship, including pricing, technical data, and client lists. This obligation survives termination of the agreement.

12. Dispute Resolution

12.1 Governing Law

These Terms of Service are governed by the laws of the People's Republic of China.

12.2 Arbitration

Any disputes arising from these terms shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing. The arbitration award shall be final and binding on both parties.

13. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government restrictions, labor strikes, or supplier failures. The affected party must notify the other party promptly and make reasonable efforts to minimize impact.

14. Amendments

QHPADEL reserves the right to update these Terms of Service at any time. Changes will be posted on our website with a revised "Last Updated" date. Continued use of our services after changes constitutes acceptance of the new terms.
